Secretarial Audit
Applicable:
(a) To all Listed Companies
(b) (i) Public Limited Companies having a paid up capital of Rs. 50 (Fifty) Crore or more or
(ii) having a turnover of Rs.250 (Two Fifty) crores on more
The report shall be made in Form No. MR-3
Section 203
Whole Time Company Secretary
Applicable:
(a) Every Listed Companies
(b) Public Limited Companies having a paid up capital of Rs. 10 (Ten) Crore or more
Filing:
Form No. MR-1 is to be filed with 60 (Sixty) days of appointment.
Transition period:
A period of Six months has been allowed for 01-04-2014.
Whole time Company Secretary can be appointed as a Company Secretary in its subsidiary
company.
Whole time Company Secretary can also be appointed as a director of the company in which
he is a Secretary.
Key Managerial Personnel (KMP)
Applicable:
(a) Every Listed Companies
(b) Other, Public Limited Company having a paid up more capital of Rs. 10 (Ten) Crore or
more
Who are Key Managerial Personnel (KMP)
a) (i) Managing Director; (ii) Chief Executive Officer or (c) Manager in his absence a whole
time director;
b) Company Secretary and
c) Chief Financial Officer
Note: The appointment of all of the Key Managerial Personnel (KMP) in whole time basis is
required.
