Section 165
Number of Directorships:
No person shall hold office as a director, including any alternate directorship, in
more than 20 companies. Directorship of Private Limited Companies will also be
counted for the limit. The maximum number of public companies in which a
person can be appointed as director shall not exceed 10. For determination of
public companies for this purpose, directorship in private companies that are
either holding or subsidiary company of a public company shall be regarded as a
public company.
Transition Period:
1 (One) year is provided to comply with the limit from the date of commencement
of the Act.
Section 149
Board of Directors: Emphasis on Women Director
Applicable:
(a) Every listed company
(b) Every other Public company having –
(i) Paid-up share capital of one hundred crore rupees or more; or
(ii) Turnover of three hundred crore or more
Transition period:
Within 6 months from 01-04-2014 – for nearby incorporated companies
a) An existing company covered under any of the above criteria shall comply with
the requirements of section 138 and this rule within 12 (Twelve) months of
commencement of such section.
b) Namely incorporated companies to comply with the provisions within 6 (six)
months of its incorporation.
Vacancy of Woman Director:
To be filed up not less than
(i) Immediate next Board meeting
(ii) 3 months from date of vacancy
‐ Whichever is earlier.
